McLeod Law LLP acted as lead transactional counsel for a Canadian-based technology company on its acquisition of the assets of a U.S. based software and digital solutions provider serving a specialized industry specific market in North America.
The transaction represented a significant strategic investment and a mid-market cross-border acquisition for our client. The transaction was completed earlier this year. This acquisition strengthens our client's technology platform by integrating advanced software, proprietary digital tools, and an established customer base serving across North America.
The transaction was highly complex and cross-border in nature, involving the coordination of Canadian and U.S. legal considerations, the transfer of critical intellectual property, workforce transition planning, and the design of sophisticated post-closing adjustment, earn-out, and risk allocation frameworks. McLeod Law supported and advised the client throughout the transaction process, from early structuring through negotiation and ultimately to closing.
