This transaction marks a pivotal step in our client’s growth strategy, enabling expansion into Alberta’s heavy industrial and construction market.

McLeod Law acted for an asset management company and its wholly-owned subsidiary in a transformative $30 million transaction involving eight privately held entities, three operating companies and five holding companies—within Alberta’s heavy industrial and construction sector.

The acquisition was financed by a Schedule I Canadian financial institution. Given the multi-entity structure and sector complexity, the transaction required legal advisory and guidance across different areas of law.

The McLeod Law transaction team was led by Saptarshi (Rishi) Chakraborty, and included Breton Gaunt, Laura Wynnyk,  and Ivana Palacios (M&A), Robin G. Lokhorst and Deirdre Lanigan (real estate and banking), Spencer T. Chimuk (employment), and Barrett Schultz (tax).

External advisors included Swainson Miki Peskett LLP acted as vendors’ counsel, Miller Thomson LLP acted as lender’s counsel, and Doane Grant Thornton LLP acted as overall M&A transaction advisor to the vendors.
